1. Acceptance of Terms

By accessing, registering on, or using the Vinoptima Dating website located at www.vinoptima.co.nz ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any provision of these Terms, you must discontinue use of the Platform immediately. 3. Account Responsibilities

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You are responsible for all activities that occur under your account, whether or not you authorized such activities. Vinoptima Dating shall not be liable for any losses arising from unauthorized use of your account where you have failed to safeguard your credentials.

4. User Conduct and Prohibited Activities

You agree to use the Platform solely for lawful purposes and in a manner consistent with these Terms. The following conduct is strictly prohibited:

  • Providing false, misleading, or fraudulent profile information, including the use of another person's photographs or identity.
  • Harassing, threatening, intimidating, stalking, or abusing any other user.
  • Soliciting money, gifts, or financial assistance from other users under false pretenses.
  • Distributing spam, unsolicited communications, chain letters, or promotional material.
  • Uploading or transmitting content that is obscene, defamatory, hateful, or otherwise objectionable.
  • Attempting to reverse-engineer, decompile, or disassemble any software or technology used by the Platform.
  • Using automated bots, scripts, or data-scraping tools to collect user data or interact with the Platform.
  • Engaging in any activity that disrupts, damages, or impairs the functionality of the Platform.

Vinoptima Dating reserves the right to investigate and take appropriate legal action against anyone who violates these prohibitions, including removing offending content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

5. Intellectual Property Rights

All content, design, graphics, trademarks, logos, software, and other materials displayed on the Platform ("Platform Content") are the exclusive property of Vinoptima Dating or its licensors and are protected by international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any Platform Content without prior written consent from Vinoptima Dating.

5.1 User-Generated Content

By submitting content to the Platform-including profile information, photographs, messages, and other materials-you grant Vinoptima Dating a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to submit such content.

6. Limitation of Liability

Vinoptima Dating provides the Platform on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Vinoptima Dating does not guarantee that the Platform will be uninterrupted, secure, or error-free.

To the fullest extent permitted by applicable law, Vinoptima Dating, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from your use of or inability to use the Platform.

Vinoptima Dating does not conduct criminal background checks on its users and makes no representations regarding the character, integrity, or trustworthiness of any user. You are solely responsible for exercising appropriate caution and judgment in all interactions with other users.

7. Indemnification

You agree to indemnify, defend, and hold harmless Vinoptima Dating, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

8. Dispute Resolution

Any disputes, claims, or controversies arising out of or relating to these Terms or the Platform shall first be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within thirty (30) days, either party may submit the dispute to binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall take place in New York, New York, and the language of the arbitration shall be English. Each party shall bear its own costs of arbitration. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

9. Termination

Vinoptima Dating may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violations of these Terms, fraudulent or illegal activity, or conduct that Vinoptima Dating determines to be harmful to other users or the integrity of the Platform. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination-including intellectual property, limitation of liability, and indemnification-shall remain in full force and effect.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any actions not subject to arbitration.

11. Modifications to These Terms

Vinoptima Dating reserves the right to modify these Terms at any time. Material changes will be communicated to registered users via email or a prominent notice on the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically to remain informed of any changes.

12. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent of the parties.
